Please read these Terms and Conditions carefully before enrolling in the Subscription Program. By enrolling in the Subscription Program, you agree to be bound by the following Terms and Conditions, as well as all other policies described in these Terms.

The following points are particularly important:

• Your subscription automatically renews at the end of the interval you select during enrollment (“Shipment Interval”), and you will be shipped the selected product and be automatically charged the subscription fee and other charges until the subscription is cancelled by you or us.
• You may cancel your subscription at any time as described in Section 3 by logging into your MyBosch account. If you cancel more than 7 days before your next order date, your subscription cancellation is effective immediately. If you cancel within 7 days of your next order date, your subscription cancellation will not be effective until after the next Shipment Interval, and you will be charged for product sent for that Shipment Interval.

These Terms and Conditions (“Terms”) are entered into between you and BSH Home Appliances Corporation, located at 1901 Main Street, Suite 600, Irvine, CA 92614 ("BSH"), and govern your participation in the Subscription Program available exclusively through your MyBosch account.

These Terms are in addition to the Terms & Conditions For Parts and Accessories Purchased on the Internet and the Data Privacy & Data Protection Notice, both of which are incorporated herein by reference and govern your participation in the Subscription Program.

1. Eligibility

You must be 18 years of age or older and located in the United States to participate in the Subscription Program. Both by accepting these Terms and by purchasing a product through the Subscription Program, you represent and warrant to BSH that (i) you are 18 years of age or older, (ii) you have the right, authority, and capacity to agree to and abide by these Terms, and (iii) you are located in the United States.

2. Enrollment

You must have a MyBosch account (provided by BSH and to which separate terms of use apply) to enroll in the Subscription Program. Your subscription will automatically renew at the end of each Shipment Interval until your subscription is cancelled by you or us.

To enroll in the Subscription Program:

• Shop online at www.bosch-home.com/us/shop
• Choose the product you would like to receive in recurring shipments
• Select the quantity and frequency of delivery
• Complete the checkout process, during which you must Login to or create a MyBosch account

3. Cancelling Your Subscription

You may cancel your subscription at any time by following the steps outlined below. If you do not wish to receive a future shipment of your subscription product, you must cancel your subscription in accordance with these Terms. You cannot pause your subscription or skip a delivery.

If you cancel your subscription more than 7 days before your next order date, which is displayed in your MyBosch account under My Subscriptions (“Next Order Date”), your cancellation is effective immediately and (i) you will not receive future product shipments; and (ii) you will not be charged for any future shipments.

If you attempt to cancel your subscription less than 7 days before your Next Order Date, your subscription will continue until the end of the current Shipment Interval and your subscription order will be shipped to you, and you will be responsible for all payments and charges for that shipment. After that Shipment Interval, your subscription will be cancelled.

How to cancel:

• Log in to your MyBosch account
• Locate the subscription you wish to cancel on your My Subscriptions page
• Click “Cancel Subscription”

After your subscription is cancelled, you may re-enroll in the Subscription Program at any time.

4. Termination of Your Subscription

A breach or violation of any of these Terms will result in termination of your subscription. BSH may, in its sole discretion, terminate your subscription at any time without notice. If we do so, you will only be charged for orders that have been shipped to you.

5. Product Availability

Subscription orders are subject to product availability. We try to fulfill all orders, but sometimes a product is not available. If that happens, we may need to cancel your order or contact you for follow-up. We reserve the right to discontinue the sale of any product at any time.

If your subscription product is temporarily out-of-stock, BSH will cancel that installment (and only that installment) of your subscription and will notify you of the cancellation via email. If your subscription product is discontinued, you will be notified by email and the recurring delivery of that product and your subscription for that product will be cancelled.

6. Billing

You authorize us to store your payment method and automatically charge your payment method every Shipment Interval until you cancel. We will automatically charge you the then-current product subscription price at the time of shipment, plus the applicable tax and shipping charge, every Shipment Interval until you cancel. You agree to pay all such charges for your subscription product—including the product price, sales tax, shipping, and any applicable fees—based on the shipping frequency you selected. If the price of any subscription product is reduced after your purchase, or if BSH offers promotional pricing subsequent to your purchase, you will not be entitled to any refund of the price difference.

Any product for which you enroll in the subscription program will be sent to the address you designate, at the delivery frequency you designate, until such shipment is cancelled pursuant to these Terms. Unless otherwise indicated, the product price does not include applicable taxes.

7. Payment Method

To participate in the Subscription Program, you must have an active credit card associated with your MyBosch account. If the credit card you provided us has expired or your method of payment has been refused for any reason, your subscription order will not be fulfilled. If the credit card you provided us has expired, you must cancel your subscription and re-subscribe with a valid method of payment.

While enrolled in the Subscription Program, you (i) agree to pay for subscription products upon shipment using the credit card you provided BSH, and (ii) authorize BSH to charge your credit card for each subscription product that is shipped to you. ¬

8. Shipping

Subscription orders will be fulfilled Monday through Friday between 8:00 a.m. and 5:00 p.m. PT. Subscription products will be shipped to the address designated by you, so long as the address you designated is complete and complies with the shipping restrictions contained in these Terms.

Subscription orders can be shipped to all 50 U.S. states. The Subscription Program is not available for international orders. We do not offer shipping to P.O. boxes, Puerto Rico, or U.S. Territories at this time. Subscription orders cannot be shipped to a store or configured for in-store pick up. Methods of shipping shall be determined in BSH's sole discretion.

10. Limitations on Purchases

You may not purchase products through the Subscription Program for further distribution or resale or for any other commercial or business purpose. All rights and privileges conferred as part of the Subscription Program are personal to you and are non-transferable.

We are not responsible for failure to fulfill subscription orders due to causes beyond our control. We reserve the right at any time to: (i) limit subscription order quantities to reasonable amounts (in our sole discretion); (ii) prohibit purchases by retailers, distributors, or resellers; (iii) discontinue or refuse to offer any product; and/or (iv) impose conditions on any discount, coupon, or promotion. We may impose these limits on a per-person, per-household, per-order, or any other basis. If we reject, limit, or modify your order, we will notify you using the email address you provided to us.

11. Changes to Terms and Conditions

You agree that BSH may, at any time and without notice, change the terms and conditions of the Subscription Program. Any such changes by BSH shall apply to future orders regardless of whether you currently are a Subscription Program subscriber. Your use of the Subscription Program shall be governed by the terms and conditions of the Subscription Program at the time of shipment. You acknowledge that BSH may elect in its sole discretion to discontinue the Subscription Program or any specific subscription product for any reason at any time.

12. Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina without giving effect to any choice of law principles that would require the application of the laws of a different country or state. Any claim brought in connection with these Terms must be brought in state or federal court located in the State of North Carolina. You agree to submit to the personal and exclusive jurisdiction of the state or federal courts located in the State of North Carolina for any disputes arising from or related to these Terms.

13. Limitation of Liability

IN NO EVENT SHALL BSH’S AGGREGATE LIABILITY TO YOU UNDER THESE TERMS EXCEED THE PURCHASE PRICE OF THE APPLICABLE SUBSCRIPTION PRODUCT. IN NO EVENT SHALL BSH BE LIABLE UNDER ANY LEGAL THEORY, FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, PUNITIVE, OR SPECIAL DAMAGES OR FOR LOSS OF USE, ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE A SUBSCRIPTION PRODUCT, WHETHER IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE), OR ARISING UNDER ANY OTHER LEGAL THEORY, EVEN IF BSH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS WILL APPLY, EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Disclaimer of Warranties

SUBSCRIPTION PRODUCTS ARE PROVIDED BY BSH ON AN “AS IS” AND “AS AVAILABLE” BASIS. BSH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE PRODUCTS MADE AVAILABLE TO YOU. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, BSH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER CONSTITUTES AN ESSENTIAL PART OF THESE TERMS OF USE. YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BSH IS NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE TO YOUR PROPERTY THAT RESULTS FROM ANY SUBSCRIPTION PRODUCT. THIS DISCLAIMER OF WARRANTIES DOES NOT LIMIT THE TERMS OF ANY PRODUCT WARRANTY OFFERED BY THE MANUFACTURER OF AN ITEM THAT IS SOLD BY BSH TO YOU.

15. Entire Agreement

These Terms constitutes the final and entire agreement between the parties regarding the subject of these Terms and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral. These Terms inure to the benefit of the parties, including any of BSH’s successors in interest. BSH has the right to assign its rights and obligations under these Terms to any affiliates. The failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

If any provision of these Terms is found by a court of competent jurisdiction to be (or are otherwise) invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
